These Terms and Conditions ("Terms") govern Clinials' Refer and Generate customer referral program (the "Referral Program"), which is available to all active Clinials subscribers. By sharing your referral link or participating in the Referral Program, you agree to these Terms.
The Referral Program is a customer advocacy program only. It is separate and distinct from the Clinials Affiliate Partner Program, which is available to approved commercial partners and governed by the Clinials Affiliate Partner Program Agreement.
1. How it works
As an active Clinials subscriber, you have access to a unique referral link within the Clinials Platform. You can share this link with colleagues, peers, and professional contacts to invite them to try Clinials.
When a person you refer creates a Clinials account through your referral link and maintains a paid subscription for two consecutive billing cycles, both you and your referral will each receive the following content pack reward
You receive 1 Referral Reward Pack | Your referral receives 1 Referral Reward Pack |
"Referral Reward Pack" are additional trial capacity packs within the Clinials Platform. They are non-transferable, have no cash value, and may not be redeemed for currency or applied as account credits.
2. Eligibility
Referrer has to have a continuous paid subscription. There is no time requirement for sending out referral links.

Referrer gets their reward only when the Referral has subscribed for 2 billing cycles. They get this referral bonus at the start of the next billing period.
At any point the subscription is cancelled by the referrer, the referral bonus is cancelled for referrer only.
Referral gets their reward on the first day of their own 2nd billing cycle, regardless of the referrer's status.

Only one referral bonus can be redeemed per customer pair
Customer's MUST use the referral code on sign up. Codes cannot be added, or changed afterwards.
Rewards are forfeited at the start of the next billing cycle
Rewards cannot be transferred between different billing cycles
Referrals to existing Clinials customers, or individuals who share the same billing details, organization, or email domain as you are not eligible.
There is no limit on the number of eligible referrals you may make. Each eligible referral generates one reward for you and one reward for your referral.
3. Reward delivery
Rewards will be automatically applied to your Clinials account on your subscription renewal date within x days of your referral completing two consecutive paid billing cycles.
Your referral's reward will be applied to their account at the same time.
Clinials will notify you by email when a reward has been applied. Rewards are non-transferable, carry no cash value, and will expire 12 months from the date of issue if unused.
4. Fair use
The Referral Program is intended for genuine, good-faith sharing with people who may benefit from Clinials. The following conduct is not permitted:
Creating fake, duplicate, or fraudulent accounts to generate referrals.
Self-referrals: referring yourself using a secondary or alias account.
Offering or accepting financial payment, gifts, or other incentives in exchange for completing a referral.
Using automated tools, bots, bulk messaging systems, or purchased traffic to distribute your referral link.
Misrepresenting Clinials' product, pricing, or features in any referral communication.
Distributing your referral link via unsolicited email (spam) or in violation of any applicable anti-spam law.
Clinials reserves the right to withhold, reverse, or cancel rewards and to suspend or terminate a user's participation in the Referral Program if misuse is detected or suspected, in Clinials' sole discretion.
5. Program changes and termination
Clinials may modify, suspend, or discontinue the Referral Program at any time. Clinials will provide reasonable notice of material changes where practicable. Rewards already applied to an account will not be revoked following a program change, but pending rewards may be affected if the qualifying conditions have not yet been met at the time of the change.
Clinials may terminate your participation in the Referral Program immediately if you breach these Terms or Clinials' Terms of Service.
6. No commercial partnership
Participation in the Referral Program does not create any partnership, agency, employment, or joint venture relationship between you and Clinials. You have no authority to make any representations, warranties, or commitments on Clinials' behalf. The Referral Program does not entitle you to any commission, revenue share, or monetary payment of any kind.
